Corporate Governance

This statement provides an outline of the main corporate governance policies and practices that the company proposes to adopt. They will be reviewed and possibly modified on an annual basis at the end of each financial year.

In pursuing increasing value for staff and customers, the board places considerable importance on high standards of ethical behaviour, governance and accountability. The board is aware of, and continues to have regard to developments in Australia and Overseas in relation to corporate governance “best practice” via Australian Government authorities and research on a regular basis. The board believes that the company’s corporate governance policies and practices substantively comply with the Australian corporate governance principles of good corporate governance and best practice recommendations.

However, the board also recognises that full adoption of these principles and recommendations may not be immediately practical nor provide the best result for the company given any of its particular circumstances and structure.

The board (together with the company’s management) has defined its corporate policies and practices to ensure that the company will maintain and continuously improve its governance standards in a changing environment. Underlying this are values and behaviours aimed at ensuring transparency and fair dealing, and protecting stakeholder or owner interests. Toner Express is committed to continuously improving and refining its governance policies and practices.
